Non-Disclosure Agreement (NDA)
Effective Date: October 1, 2025
This Non-Disclosure Agreement ("Agreement") is entered into between HOA Contacts LLC, a Delaware corporation ("Disclosing Party"), and you, the Customer ("Receiving Party"), in connection with the purchase and use of data from hoacontactlists.com.
Confidential Information
"Confidential Information" means all data, information, and materials provided by HOA Contacts LLC to the Customer, including but not limited to:
- Names, addresses, phone numbers, and email addresses of community association board members;
- Association names, addresses, and contact information;
- Any other data or information provided through the service;
- The methods, processes, and systems used to collect, compile, and deliver such data.
Obligations of Receiving Party
The Receiving Party agrees to:
- Hold and maintain all Confidential Information in strict confidence;
- Not disclose, publish, or disseminate Confidential Information to any third party without prior written consent from HOA Contacts LLC;
- Use Confidential Information solely for the purposes permitted under the Terms of Use;
- Take reasonable precautions to protect the confidentiality of the information;
- Not use Confidential Information for any purpose other than those expressly permitted in the Terms of Use.
Prohibited Uses
The Receiving Party shall not:
- Sell, rent, lease, or otherwise transfer Confidential Information to any third party;
- Use Confidential Information to create competing products or services;
- Reverse engineer, decompile, or disassemble any data compilation methods;
- Use Confidential Information in violation of any applicable laws or regulations, including but not limited to privacy laws, anti-spam laws, and consumer protection laws.
Term
This Agreement shall remain in effect for as long as the Receiving Party possesses any Confidential Information, and shall survive termination of any service agreement or purchase transaction.
Remedies
The Receiving Party acknowledges that any breach of this Agreement may cause irreparable harm to HOA Contacts LLC for which monetary damages may be inadequate. Therefore, HOA Contacts LLC shall be entitled to seek injunctive relief and other equitable remedies in addition to any other remedies available at law or in equity.
Return of Information
Upon request by HOA Contacts LLC, or upon termination of the service relationship, the Receiving Party shall return or destroy all Confidential Information and certify in writing that such return or destruction has been completed. Notwithstanding the foregoing, the Receiving Party may retain copies of Confidential Information as required by law or for archival purposes, subject to the continuing obligations of confidentiality under this Agreement.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
